IGNITE TO TRANSFORM TEAM LEADER PROGRAM AGREEMENT

THIS AGREEMENT is by and between People Spark Consulting, Inc., a Minnesota Corporation (“Company”) and user (“Client”) collectively, the “Parties.” For good and valuable consideration, the Parties agree to the following:

COMPANY SERVICES
Upon execution of this Agreement, the Company agrees to render services related to coaching and/or consulting (the “Program”). The scope of services rendered by Company pursuant to this contract shall be solely limited to those contained therein. Specifically:

As an active participant in the Program, the following services are available to Client:
• Eight (8) Week Ignite to Transform for Team Leaders Program. The program will deliver the key skills and processes to including overview, training, documentation, change management, and people management.
• Once weekly Office Hours for ongoing group coaching and support.
• Email Support with a 48-hour response time, during business hours.
After completion of the 8 weeks active participation in the Ignite to Transform for Team Leader program, Client will continue to have access to program modules and content online for the duration of their enrollment as a participant in the Fan the Flame program. After completion of the 8-week program, Client will no longer have access to the weekly coaching calls, individual coaching calls or email support.

NATURE OF SERVICES
Human resources education/training, consulting, and/or business and human resources coaching. Approaches may include inquiry and dialogue either in person or on the phone. Client may be assigned homework exercises, communication challenges, accountability requirements and expanded listening and trust skills.

CONFIDENTIALITY
Company agrees not to disclose, reveal, or make use of any Confidential Information learned of through its transactions with Client, during discussion with Client, other than what is now or subsequently becomes generally available to the public, without the written consent of Client. Company shall keep the Confidential Information of the Client in strictest confidence and shall use its best efforts to safeguard against disclosure, misuse, espionage, loss and theft.

Client agrees not to disclose or reveal any Confidential Information learned through its transactions and discussions with the Company and other Clients of the Company.

INTELLECTUAL PROPERTY
Company’s original materials shall be provided to the Client for his/her individual use only and may not be reproduced, posted online, licensed, or otherwise shared with third parties. All Company intellectual property, including Company’s course materials, shall remain the exclusive property of the Company and shall not be shared without written consent from the Company.

DISCLAIMER OF GUARANTEE & INDEMNIFICATION
Client accepts and agrees that she/he is solely responsible for her/his progress and results from the Program and that Company cannot control Client and/or Client’s participation. Company makes no representations or guarantees verbally or in writing regarding performance of this Agreement other than those specifically enumerated herein. Client accepts that the results experienced by clients significantly vary and accepts responsibility for such variance. Client shall defend, indemnify, and hold harmless Company and related entities from and against any and all liabilities and expenses whatsoever, including without limitation, claims, damages, judgments, awards, settlements, investigations, costs, attorney’s fees, and disbursements, arising out of or relating to this Agreement.

DISPUTE RESOLUTION
Any disputes related to this agreement shall be settled through binding arbitration in the County of Hennepin in the State of Minnesota and conducted according to the rules and procedures of the American Arbitration Association (“AAA”) and by a single AAA arbitrator, with associated fees paid for by the non-prevailing party. Under no circumstance shall Client be entitled to an award of monetary damages exceeding the fees paid by Client to Company for the services described in this Agreement.
